Terms of business
For the account in the members area and licences for Leafcutter OS. As of October 2026.
The German version of these terms is the authoritative one. This English version is a translation.
§ 1 Provider and scope
(1) The provider is Leafcutter UG (haftungsbeschränkt), Schlesische Straße 26, 10997 Berlin, Germany, registered in the commercial register of the Amtsgericht Charlottenburg under HRB 292327 B ("Leafcutter", "we").
(2) These terms apply to the account in the members area at app.leafcutteros.ai and to every licence for Leafcutter OS that you acquire there.
(3) We enter into contracts exclusively with businesses within the meaning of § 14 of the German Civil Code (BGB), that is with companies, organisations, freelancers and self-employed persons acting in the exercise of their commercial or independent professional activity. Consumers within the meaning of § 13 BGB cannot acquire a licence. By purchasing, you confirm that you are acting as a business.
(4) The customer's own general terms and conditions do not apply, even if we do not expressly object to them.
§ 2 Licence and order of precedence
(1) The rights you receive in Leafcutter OS are governed by the Leafcutter OS Licence in the version that accompanies the respective release (currently version 1.2). It forms part of this contract.
(2) These terms govern what the licence leaves open: purchase, term, renewal and access to the registry and the members area (section 5.4 of the licence).
(3) In the event of a conflict, the licence prevails for rights of use, and these terms prevail for everything else.
§ 3 Account in the members area
(1) The account is free of charge. Without a licence it shows the overview of the guide and the way to purchase. There is no entitlement to a free account or to particular content in it.
(2) You keep your login details secret and do not pass them on. Each person uses their own account.
(3) Either party may end an account without a licence at any time. You can request deletion by email to kontakt@leafcutteros.ai.
§ 4 Plans
(1) Personal applies to a natural person acting as a freelancer or self-employed person. Only the account used for the purchase receives access. The rights of use follow the Personal Licence of the licence.
(2) Business applies to a company as one legal entity. All persons with a confirmed email address at the company's domain receive access to the members area and the registry. The number of persons is not limited. The rights of use follow the Business Licence of the licence; they do not extend to parent, subsidiary or affiliated companies.
(3) For Business you warrant that the domain belongs to the company for which you are purchasing. At purchase, the domain of your own confirmed address is registered. We add further domains of the company on request.
(4) Business requires an email address at a company domain. Addresses at general email providers are sufficient only for Personal.
(5) Whoever sets up Business for a company is its first admin. Only admins purchase and renew the licence, manage it through Link and grant the role to further persons of the company. All persons of a company can see in the members area who else belongs to it and who is an admin.
§ 5 Purchase through Link (Stripe)
(1) The purchase is handled by Link, LLC, a company of the Stripe group, as reseller. On your statement and invoice the purchase appears as "Sold through Link". The purchase contract, payment, invoicing, value added tax and refunds are governed by Link's terms, which you accept at checkout.
(2) You receive the licence for Leafcutter OS and the services under § 6 directly from us, under these terms.
(3) The contract with us is concluded when you accept these terms and the licence in the members area and complete the payment at checkout.
(4) The prices in the members area are net prices in euros per twelve months. Whether and how much value added tax applies is determined by Link at checkout.
§ 6 Services during the term
(1) As long as the licence runs, you receive:
- Registry: access tokens for the package registry at packages.leafcutteros.ai, through which you obtain all versions of Leafcutter OS that we publish during the term. Each token is valid for at most one year; up to 20 tokens per person can be active at the same time.
- Guide: the complete guide and the further content in the members area.
- Updates: new versions, bug fixes, documentation and training material, to the extent we publish them. There is no entitlement to particular new features.
(2) Support, consulting, setup and operation are not part of the licence (section 9.2 of the licence).
(3) The registry and the members area are provided without guaranteed availability. We announce maintenance where possible.
(4) You keep access tokens secret. You may use them only for authorised users within the meaning of the licence. If a token falls into the wrong hands, revoke it in the members area.
§ 7 Term, renewal, cancellation
(1) The licence runs for twelve months from the purchase.
(2) If you chose "Renew automatically" at purchase, it renews for a further twelve months each time at the price then applicable. Before each renewal you receive a reminder by email.
(3) You can stop the renewal at any time until the end of the current term, in the members area under "Manage licence" or through Link. There is no pro-rata refund for the current term.
(4) We announce price changes for a renewal at least six weeks before it begins.
(5) The right to terminate for good cause remains unaffected. Breaches of the licence are governed by its section 11.
§ 8 After the end of the term
(1) What you have obtained, you may keep and continue to use. Every version you lawfully obtained during the term remains usable without time limit under the licence (sections 4 and 5.2 of the licence).
(2) The access tokens expire. About one minute after the end of the term the registry no longer accepts them. Anyone who wants to keep installing through a registry afterwards puts the obtained versions into their own non-public registry. The licence expressly permits this (section 4.1); you may not make the packages publicly available (section 6.1).
(3) Access to the guide and to the other content in the members area ends. What you saved locally before, you may keep for your internal use (section 5.3 of the licence).
(4) Updates end.
(5) If the licence is renewed later, the existing tokens become valid again as long as their own validity is still running.
(6) A refund removes the rights. If Link refunds the price of a term, the licence ends immediately. With it, the rights to all versions you obtained during that term lapse; you delete those copies. Versions from earlier, paid terms remain unaffected.
§ 9 Warranty and liability
(1) For defects in versions you received against payment, the statutory warranty law for businesses applies, with the restriction in section 9.3 of the licence.
(2) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, for fraudulent concealment of a defect and to the extent we have given a guarantee.
(3) In the case of simple negligence we are liable only for the breach of an essential contractual obligation, the fulfilment of which makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely. Liability is then limited to the damage that was foreseeable and typical for the contract at the time it was concluded.
(4) Otherwise liability is excluded. For the free account we are liable only under paragraph 2.
(5) You check results produced by Leafcutter OS yourself before using them (section 9.1 of the licence).
§ 10 Changes to these terms
(1) We announce changes by email at least six weeks before they take effect. For a running licence they apply only from the next renewal.
(2) If you do not agree, stop the renewal under § 7 paragraph 3.
§ 11 Data protection
How we process personal data is set out in the privacy policy.
§ 12 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The exclusive place of jurisdiction for merchants, legal entities under public law and special funds under public law is Berlin.
(3) If a provision is invalid, the remaining provisions remain valid.
